Audit Committee Member

ECF is seeking experienced professionals to join our Audit Committee as volunteer members! This role is perfect for individuals with financial expertise who want to make a meaningful impact in their community. As Edmonton's largest non-governmental funder of the charitable sector, we're looking for dedicated leaders to help safeguard and strengthen our financial oversight.

The Organization 

ECF is committed to building a vibrant city and enriching the lives of all Edmontonians. We do this by leveraging over $800 million in assets under management to provide an average of over $35 million in community grants and scholarships each year, thanks to the generous support of thousands of donors. As the largest non-governmental funder of the charitable sector in our City, ECF is in a unique position to address community needs by working with donors, charities, volunteers, government and community partners.   

 

The Opportunity 

The Audit Committee is tasked with ensuring the integrity, accuracy, and transparency of ECF’s financial reporting and compliance processes. The Committee plays a critical role in safeguarding ECF’s assets, mitigating risks, and upholding ethical and legal standards. 

Through the Committee Chair, the Audit Committee reports directly to the Board of Directors and provides regular updates on its activities, findings, and recommendations. 

Key Roles & Responsibilities: 
  • Financial Reporting: 
    • Review and assess financial statements’ accuracy, completeness, and transparency. 
    • Ensure that all required financial disclosures are properly included. 
  • Internal Controls: 
    • Evaluate ECF’s internal control systems to confirm their effectiveness in mitigating financial and operational risks. 
    • Recommend improvements to strengthen internal control frameworks where necessary. 
  • Compliance and Regulatory Controls: 
    • Ensure ECF operates within all applicable legal and ethical frameworks. 
    • Oversee legal and regulatory matters that may impact the organization’s financial statements or operations. 
  • Appointing the Auditor: 
    • Recommend the appointment, retention, and termination of the external auditor. 
    • Approve the fee and scope of the audit engagement. 
    • Evaluate the performance, independence, and qualifications of the external auditor. 
  • Risk Management: 
    • In collaboration with the Governance Committee, review, evaluate and make suggestions to identify risks and improve ECF’s risk management framework. 
  • Operating Budget: 
    • Review and recommend to the Board the approval of the annual operating budget for ECF. 

Commitment: 

  • Approximately 5-6 hours per Committee meetings (3 meeting plus review of meeting documents). Meetings are held three times per year. 
  • Attend all scheduled Audit Committee meetings and participate actively in discussions. 
  • Review relevant documents and reports prior to meetings to provide informed input. 
  • Maintain confidentiality and independence in all committee matters. 
  • Work collaboratively with other committee members, staff, and external auditors to ensure ECF’s financial health and integrity. 
  • Committee members serve for a one-year renewal term, for a maximum of six years. Committee members begin their terms at the conclusion of the June Board meeting. 

The Ideal Candidate 

  • Expertise in financial reporting, auditing, or accounting is required. 
  • Familiarity with internal control systems and risk management processes. 
  • Knowledge of applicable legal and regulatory frameworks governing the non- profit sector with preference for experience with non-profits and foundations. 
  • Strong ethical standards and a commitment to the purpose, vision and values of ECF.
